Terms of Service

1. Introduction / Acceptance

By accessing or using cGenie, you agree to these Terms of Service and the Privacy Policy. If you do not agree, you must not use the Service.

2. Company

cGenie is operated by NeuralAi SpA, RUT No. 78.091.364-9. Legal representative: Cristian Munir González Marambio, RUT No. 13.246.468-3. Address: Triunfo Campesino PC 5 LT 9, Pan de Azúcar, Coquimbo, Chile.

3. Service Description

cGenie is a SaaS platform for generating Google Ads campaign structures and lead-generation landing pages. The Service may include Brand Memory, AI-generated campaign strategy, keywords, ad copy, sitelinks, landing pages, landing page publishing, lead capture and prospects, and optional integrations such as Google OAuth or Google Ads where enabled.

Planned features may evolve, and some functionality may be available only in specific plans or environments.

4. Eligibility and Accounts

You must be at least 18 years old to use the Service. You agree to provide accurate information, keep your credentials secure, and promptly notify us of unauthorized account access.

5. User Responsibilities

You are responsible for:

• Having rights to uploaded logos, brand materials, website content, and other inputs.
• Ensuring your campaigns, ads, and landing pages comply with applicable laws and ad platform policies.
• Reviewing AI-generated content before publishing or using it.
• Obtaining consent or another lawful basis for collecting leads.
• Complying with Google Ads and other third-party platform terms.

6. AI-Generated Content Disclaimer

cGenie provides AI assistance. Outputs may be inaccurate, incomplete, non-compliant, or unsuitable for your specific context. You are responsible for reviewing, approving, and using outputs. We do not guarantee ad performance, leads, revenue, conversion rate, lower cost per click, or return on investment.

7. Acceptable Use

You must not use the Service to:

• Create or distribute unlawful, misleading, abusive, discriminatory, or infringing content.
• Distribute malware, phishing, spam, or other harmful activity.
• Promote adult sexual services, illegal drugs, weapons, scams, deceptive financial claims, or other restricted or illegal offers.
• Bypass limits, credits, or access controls.
• Reverse engineer, scrape, attack, overload, or interfere with our infrastructure.
• Upload sensitive personal data unless you are legally authorized and have appropriate notices and safeguards.

8. Landing Pages and Leads

You are responsible for privacy notices, consent, and the legality of landing forms you publish. NeuralAi SpA and cGenie provide hosting and capture tooling but do not determine your marketing purpose. You must not collect sensitive data through forms unless you have a lawful basis and proper notices.

9. Third-Party Services and Integrations

The Service may connect to third-party services such as Google, OAuth providers, AI providers, hosting services, email providers, and payment processors if enabled. Third-party services have their own terms and policies. Disconnecting integrations may limit functionality.

10. Subscriptions, Plans, Credits and Billing

cGenie may offer free and paid plans. Plans may include usage limits, AI credits, landing generation limits, brands or campaign limits, and other restrictions. Paid features may require a payment method. Fees are non-refundable except where required by law. Limits may be enforced or may require an upgrade.

11. Intellectual Property

The cGenie platform, code, design, brand, and related materials belong to NeuralAi SpA or its licensors. Your content remains your or your customer’s property. You grant cGenie the rights needed to process your content to provide the Service. You may use AI-generated outputs generated for your account, subject to third-party AI provider terms and your responsibility for review and compliance.

12. Feedback

We may use feedback, suggestions, or ideas you provide without compensation or obligation to you.

13. Service Availability

The Service is provided “as is” and “as available.” We do not provide an uptime guarantee unless separately agreed. Features may change, be suspended, or be discontinued.

14. Suspension and Termination

We may suspend or terminate accounts for breach of these Terms, abuse, non-payment, security risk, legal risk, or other harmful activity. You may stop using the Service or cancel where available.

15. Limitation of Liability

To the fullest extent permitted by law, NeuralAi SpA will not be liable for indirect, incidental, consequential, special, punitive damages, lost profits, lost revenue, or loss of data. Our total liability is limited to the amount paid by you for the Service in the three months before the claim, or a reasonable minimum if you used a free plan. This clause should be interpreted only to the extent permitted by applicable law.

16. Indemnification

You agree to indemnify and hold harmless NeuralAi SpA from claims arising from your content, campaigns, landing pages, data collection, breach of these Terms, or violation of law.

17. Changes to Terms

We may update these Terms from time to time. The latest version will be posted at /terms.

18. Governing Law

These Terms are governed by the laws of Chile. Any disputes will be submitted to the competent courts of Chile, unless otherwise required by applicable consumer protection law.
